"content": "<p>商业计划书是企业在发展到一定阶段后，为了寻求外界支持， 特别是资金支持而应准备的一份重要文件。对于专业投资机构而言， 仅仅完成商业计划书的写作是远远不够的，有许多深层次的问题和要点在写作过程中往往会被忽略和曲解。</p>\r\n<p><strong>首先，企业一定要理解商业计划书的写作目的。</strong>许多企业的主要目的是融资，但商业计划书的写作本质上是企业对自身经营情况和能力的综合总结和展望，是企业全方位战略定位和战术执行能力的体现，为了融资只不过是触发企业写作商业计划书的一个要素。好的企业、善于思考和总结的企业，即使不融资，也会经常按商业计划书的模式和要点来反思自身的经营情况，从而提高企业的综合素质。</p>\r\n<p><strong>其次，商业计划书的核心内容是介绍企业，而不是介绍具体的项目。</strong>这一点尤为重要和突出。某些企业在商业计划书中花大篇幅介绍企业的一个技术、一个项目或一种业务，而忽略了对企业的全面介绍。对于投资人而言，要投资的绝不是某一个项目或技术。投资人要投的是一个商业实体，一个有核心团队管理的日常运营的企业。企业可以做某一个业务，可以上某一个项目，也可以推出一项新的技术，但以上都是在企业这个载体上出现的业务形态，不能代表企业自身。所以一定要注意计划书的出发点：是企业的整体经营，不是技术或项目。</p>\r\n<p><strong>再次，一定要撰写提纲和概要。</strong>特别是概要部分，是整个商业计划书的精华所在，也是打动投资人的关键环节，绝不可粗心马虎，简单糊弄。许多投资人就是在看了商业计划书概要部分之后才决定是否要看全文的。而提纲部分可以帮助撰写人理清思路，明确内容，掌控全局，也是写作过程中重要的行为指导。</p>\r\n<p>对于商业计划书具体的内容部分，切记不要长篇大论、粘贴拼凑，应严格按照商业计划书的基本格式和提纲来写作，同时要特别注意说明企业在“做什么”“谁来做”“怎么做”等方面的情况。通常所见的商业计划书都过于着重描述企业的技术、产品、市场等等方面，而忽略了某些最基本的问题，即企业是“做什么的”—一主营业务是什么；“谁来做”一管理团队如何组成，如何管理；“怎么做”一如何组织生产、销售、运营等。 </p>\r\n<p>对于商业计划书里面的财务和融资部分，许多企业缺乏基本的认知，以为随便拼凑一些数字就可以表明企业有多赚钱，融资金额也越大越好。但对于专业的投资机构而言，可以很容易地发现企业财务数据的漏洞和对资金的需求实情。所以企业切不可随便编造数据。特别需要注意的是，很多企业在这部分当中常常把项目的投资论证当作企业的投资论证，从而偏离了商业计划书的本意，即企业融资，不是项目融资。</p>\r\n<p><strong>此外，在财务预测中，夸大销售、夸大利润等现象比比皆是，专业投资机构通常会仔细地推敲企业提供的每一个数据</strong>。对于融资额，许多企业也是随便给个大数，缺乏科学实际的论证和支持。因此，建议企业在这部分一定要实事求是，态度诚恳，以得到机 构投资人的认同和理解，并且有利于双方商讨财务预测和融资事宜。</p>\r\n<p><strong>最后，需要再一次强调商业计划书的写作目的是突出企业的投资价值，而这个目的需要贯彻在商业计划书的每一个部分和言语当中，整个计划书也需要围绕这个中心思想而展开。</strong>企业的投资价值简单而言就是企业的成长空间、成长能力以及成长效率。资本市场最关注的就是企业投资价值的增长空间、效率、速度、能力以及风险。所以企业在商业计划书的写作当中，一定要突出自己的生存和发展能力——对市场、产品、竞争、管理、销售、财务等方面的掌控能力和增长能力，最终目的是要有逻辑地体现综合全面的素质和发展态势。</p>",

"content": "<p>信托融资是指企业或特定金融机构以发行信托的方式进行融资。</p>\r\n<p><strong>1.信托融资的原理</strong></p>\r\n<p>发起人因资金短缺，依靠信托机构搭建融资平台，即信托机构根据具体项目设立信托计划（也叫信托产品）向社会筹集资金，筹集到的资金通过信托机构投人到项目中去。从融资的角度看，购买信托计划者就是项目投资人，信托机构是投资者的代理人，充当的只是融资的工具；同时在这个融资过程中形成了信托行为。信托计划的购买者实际就是信托关系里的委托人，信托机构则是信托关系里的受托人，信托机构通过发售信托计划汇集的资金就是信托财产，以信托财产投资项目获取收益就是信托目的。</p>\r\n<p><strong>2.信托融资的特点</strong></p>\r\n<p>与其他融资方式相比，由于在信托法律关系中进行融资，信托融资具有以下不同的特点：</p>\r\n<p><strong>(1)</strong><strong>融资速度较快，进入门槛低。</strong>信托融资的操作相对简单，期限设计和资金运用方式灵活，从设计到审批以及发行所需的时间较少，能快速筹集资金。信托资金的进入门槛较低。只要是经批准设立的信托投资公司均可以开展资金信托业务，信托投资公司设立资金信托计划无须审批，只需报主管部门备案。</p>\r\n<p><strong>(2)</strong><strong>融资者负担小。</strong>信托融资对融资者没有限制，只要信托公司愿意投资给融资者即可。</p>\r\n<p><strong>(3)</strong><strong>融资成本较低，期限较银行贷款长。</strong>总体来说，信托融资的成本与银行贷款融资成本一致或者略高，但比债券融资和股票融资要低。与银行贷款相比，信托融资的期限一般较长，有利于融资者的持续发展。</p>\r\n<p><strong>(4)</strong><strong>信托融资领域多元化。</strong>信托公司是可同时在资本市场、货币市场和实业领域投资的金融机构，这种优势使信托公司发挥其他金融机构所不能发挥的重要作用。信托公司一般对中型企业融资较多，因为中型企业发展已经稳定，有足够的资产抵押、只是扩大再生产面临资金短缺；而小型企业由于经营尚不稳定，可抵押资产较少。信托公司比较倾向具有垄断特征的行业。2005年以来，信托融资主要集中在工商企业、交通运输、房地产、公用事业几大领域。因为这些领域中的企业经营活动产生的现金流量较稳定，避免了因为市场竞争而出现的波动。</p>\r\n<p>在中小企业融资行为中，信托融资具有以下优点：</p>\r\n<p>(1)信托融资符合中小企业的规模小、期间短、成本低的融资需求。</p>\r\n<p>(2)信托风险由债权人、信托机构、行业协会以及政府分散共同承担，弥补信托机构风控能力的不足。信托渠道更适合于中小企业的融资需求。</p>",

line-height: 3em;\">一种相当于股东追加了投资。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">但是这样会影响股权结构，很多公司可能不会轻易这么做。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">那么就可以用另外一种方法，把这部分资金，当作股东给你的借款。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">你给股东一个高的利率，就相当于股东在你这里做理财了。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">等度过这段危机，你再把借款连本带利地还给股东。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">就算万一的万一，公司运气不好倒闭了，股东借款的偿还优先级是在股权之上的，这也会保护股东这部分的利益。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\"> </p>\n<p style=\"text-indent: 2em; line-height: 3em;\">第二种办法是，尽快卖出存货。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">盘点一下你手上有多少存货，然后想办法尽快卖掉，换成现金。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">我举个例子。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">假如你是一家饭店，手上大量的存货是新鲜食材，现在因为疫情，没人来饭店吃饭了，大量食材囤积在手上，怎么办？</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">你发现周围的居民正好买不到蔬菜，那你就可以跟美团、饿了么这些外卖平台合作，把食材卖给他们。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">或者你可以把大量食材做成能够放得住的伴手礼，卖给用户，换成现金。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">为了尽快卖掉存货，获得现金流，你可能需要牺牲一点利润，把存货打折出售。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">这样虽然利润表会很难看，但是你要知道，这个时候，救命最重要。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\"> </p>\n<p style=\"text-indent: 2em; line-height: 3em;\">第三种办法是，向客户预收款。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">什么叫做向客户预收款？</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">我举个例子。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">假如你是做连锁火锅店的，现在因为疫情你无法营业了，你又急需现金流，这个时候，你可以向顾客卖储值卡。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">比如，一次性储值2000块，以后吃火锅可以打6折，这是平时不可能有的折扣。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">打折销售，你未来会损失一些利润，但是短期之内，你可以通过预收款获得一些现金流来救命。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">当然，能够这么做，首先你得是有公信力和信用的企业，比如海底捞。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">假如顾客都不信任你，根本就不可能给你存钱。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\"> </p>\n<p style=\"text-indent: 2em; line-height: 3em;\">第四种办法是，提前收回应收款项。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">应收款项，是未来某个时间点上你应该收到的款项。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">而你现在就急需现金，想要提前把款项收回来。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">但是，你没有办法要求别人提前还你，尤其在目前的情况下，各企业都面临着危机，别人家也没米下锅了，怎么办？</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">你可以借助三个金融工具。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">第一个金融工具，叫做应收账款质押贷款。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">应收账款质押贷款，就是把应收账款的收款权抵押给银行，做短期的贷款融资。日后你要按约定期限偿还贷款和利息。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">第二个金融工具，叫做应收账款保理。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">保理就是你把应收账款转让给银行或者保理公司，他们会根据风险，折掉一部分资金成本后，把剩下的资金先行给你。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">跟质押贷款不同，做了保理之后，应收账款的所有权就转让给了银行或者保理公司，到期由他们直接收回款项。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">第三个金融工具，叫做应收票据贴现。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">应收票据贴现，是你用未到期的应收票据来向银行融通资金，银行会按票据的应收金额，扣除一定期间的贴现利息后，将余额支付给你。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">保理和贴现需要保理公司和银行的配合。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">很多银行对贴现和保理的审核门槛较高，这就需要银行的监管机构下发一些政策，在特殊时期，放宽限制。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">应收账款的质押贷款、应收票据贴现、和应收账款保理，这三种金融工具的目的，都是利用应收款项，在短期内快速获得现金流。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">当然，你需要为此支付一定的资金成本。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">除了利用金融工具，假如你的客户是国企，你可以密切关注国资委的政策。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">去年国资委就发过文，要求国企不要拖欠中小企业的应付账款。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">现在特殊时期，国资委有可能也会推出类似政策，帮助中小企业渡过难关。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\"> </p>\n<p style=\"text-indent: 2em; line-height: 3em;\">第五种办法是，延期支付应付款项。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">应付款项，是你在一定期限内，需要支付给别人的款项。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">比如应付账款、银行利息、房租、员工工资、社保费用等等。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">分析一下，这些应付款项，有哪些可以延迟支付？</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">目前苏州市和重庆市都出台了一些政策，帮助中小企业共渡难关。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">比如，延期缴纳税款、减免中小企业房租、缓缴社会保险费、减轻企业用电用气负担、延期偿还信贷等等。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">相信其他省市可能也会陆续出台一些政策，你可以密切关注。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">另外，在应付工资部分，如果一些员工家里有余粮，不着急用这些钱，你可以为他们制定一个方案：</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">如果延期领取工资，你可以支付一定的利息，比如年化12%。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">这就相当于员工把工资放在你这里做理财了。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\"> </p>\n<p style=\"text-indent: 2em; line-height: 3em;\">最后，是第六种办法，削减酌量性固定成本。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">什么叫做酌量性固定成本？</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">新产品开发费、营销费、广告费、职工培训费等等，这些你在年初就计划好的预算，叫做酌量性固定成本。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">在特殊时期，你可以适当削减这些费用，来获得更多现金流，帮助你度过短期危机。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\"> </p>\n<p style=\"text-indent: 2em; line-height: 3em;\">寻求股东融资、尽快卖出存货、向客户预收款、提前收回应收款项、延期支付应付款项、削减酌量性固定成本，这是在短期之内，快速获得现金流的6种办法。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">比如房租、员工工资、固定资产折旧、贷款利息等等。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">什么叫变动成本？</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">变动成本，是与你业务量成正比的成本，业务量越大，变动成本就会越高。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">比如交易成本、销售佣金等等。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">从财务上来看，如果一家公司的固定成本占比太高，那么他的风险就会很大。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">就像在这次的疫情中，突然没有了收入，如果你的固定成本特别高，你就很难支撑太久。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">所以，为了增强企业的抗风险能力，你可以变固定成本为变动成本。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">具体怎么做呢？</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">你可以把一些业务外包。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">但是如果把物流业务外包给其他快递公司，那么这部分的成本就变成了变动成本。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">具体作为固定成本，还是变动成本，这需要考虑生意的规模。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">并不是说变动成本就一定更省钱，只是当你的业务量达不到的情况下，选择外包，变固定成本为变动成本，你的成本就会更低，抗风险能力也会更强。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">对于制造业，在特殊时期，不一定每一个模具、零件都要自己建车间来生产，可以选择委外加工，甚至从外部采购，来把这些固定成本变为变动成本。</p>\n<p style=\"text-indent: 2em; line-height: 3em;\">生意好的时候，大家对固定成本和变动成本不敏感，总觉得我能做的就自己做了，为什么要外包，让人家来赚我的钱呢？</p>\n<p style=\"text-indent: 2em;
